According to the "Administrative Measures" and the company's articles of association, the company's board of supervisors will fully review the list of incentive targets after hearing public opinions. The relevant publicity and verification are as follows:
I. Publicity on September 12, 2017, the company announced the “List of Incentives for the 2017 Restricted Stock Incentive Plan of Henan Huanghe Cyclone Co., Ltd.” on the website of the Shanghai Stock Exchange and the “Shanghai Securities News”. The name and position of the company's proposed incentive object will be publicized. The publicity time is from September 12, 2017 to September 26, 2017. During the public notice period, the company has not received any objection to this proposed incentive object.
II. Verification opinions of the Board of Supervisors 1. The list of incentive targets meets the scope of incentive objects specified in the 2017 Restricted Stock Incentive Plan;
2. The basic situation of the incentive object is true, and there is no false, intentional concealment or major misunderstanding;
3. The incentive targets are directors, senior management personnel and other core management personnel who are employed in the company or subsidiaries when the company implements this restricted stock incentive plan and have a direct impact on the company's operating performance and future development;
4. The incentives do not exist in the following situations as described in Article 8 of the Administrative Measures:
(1) has been identified as an inappropriate candidate by the stock exchange in the last 12 months;
(2) It has been identified as an inappropriate candidate by the China Securities Regulatory Commission and its dispatched offices within the last 12 months;
(3) In the past 12 months, due to major violations of laws and regulations, the China Securities Regulatory Commission and its dispatched offices have been punished administratively or adopted market prohibition measures;
(4) Those who are not allowed to serve as directors and senior management personnel of the company as stipulated in the Company Law;
(5) Laws and regulations stipulate that it is not allowed to participate in the equity incentives of listed companies;
(6) Other circumstances as determined by the China Securities Regulatory Commission. 5. The incentive object does not include the company's supervisors, independent directors, shareholders or actual controllers who individually or collectively hold more than 5% of the company's shares, their spouses, parents, children;
6. The incentive object did not participate in the equity incentive plan of two or more listed companies.
In summary, the incentive targets included in this restricted stock incentive plan are in compliance with the conditions stipulated by relevant laws, regulations, rules and regulatory documents, and they are legal and effective as the incentive objects of this restricted stock incentive plan.
